1. Purchase Requirement

Buyer must submit a copy of the buyer¡¦s resale permit/certificate and tax ID, Picture of store front (both inside and out), and If you sell strictly online please provide a link to your store front(s) that we can refer to.  Our sales rep will contact you Once we have received all the requested items please allow 1-2 business days for processing. During this time a representative may reach out to you if more information is needed.

2. Pricing

1-1.All prices are wholesale prices and are listed in US dollars. Prices are subject to change without prior notice. Unicorn Studio Inc. will make every effort to inform you should any changes occur. We reserve the right to make corrections if an error occurs. Typing errors are not binding and may be modified at any time after discovery.

1-2.Unicorn Studio, Incorporated, 13955 Live Oak Ave, Irwindale, CA 91706, USA is hereby reinforcing its Minimum Advertised Price Policy (MAP policy) to preserve its integrity and reputation as a premium collectible brand. The MAP policy will apply to the wholesale prices shown on our wholesale website and price list (attached) before any discounts applied. This policy applies to all Unicorn Studio Inc. distributors, dealers, and retailers, including, but not limited to online retailers. Advertised pricing of covered Veronese Design items must comply with this policy in order to qualify for reseller status and remain eligible to represent, purchase, or resell all products from Unicorn Studio Inc. and the brand Veronese Design.

MAP Definitions:

¡´ Covered advertising is any activity that references the Veronese Design name or product model number or pictures or otherwise describes covered Veronese Design items.

¡´ Each reseller is free to independently set its actual resale price for any item. The MAP policy strictly covers the lowest price a retailer can advertise for sale online or in an advertisement.

¡´ MAP policy does not account for shipping cost added to the price, if a product is advertised as free shipping then we shall assume that the freight cost is $0.00.

MAP Violations: In case of a violation of the MAP policy, the reseller will be given 24 hours to rectify the violation upon notice, Unicorn Studio Inc. will initiate an investigation to the reseller¡¦s account, any orders not yet shipped, drop ship orders, and applicable discounts will remain pending status during the investigation period. If consistent MAP violations are reported or found, Unicorn Studio Inc. may withhold orders for up to 30 days or suspend the reseller¡¦s account indefinitely. The MAP policy has been unilaterally adopted by Unicorn Studio Inc and will be uniformly enforced. The terms of this MAP policy are not negotiable and will not be modified for any reseller.

Amendment: This policy may be amended or modified only by a official written announcement from Unicorn Studio Inc.

3. Minimum Orders

The minimum order amount is $300 per initial order and minimum re-order amount is $200 with a minimum order quantity of 2pcs per SKU (larger items or items valued at $70 or higher are exempt from the minimum order quantity of 2pcs). Initial orders must be paid in full and up front before products are shipped out.

A $30 handling charge will apply if the re-order amount $200 is not met. All sales are final and no consignment or guaranteed sales.

If the buyer wishes to cancel an order, such cancellation must be given in writing in reasonable time prior to execution of the order. Products ordered and subsequently returned will not be accepted unless by prior agreement. All orders cancelled prior to shipment but already packed in warehouse are subject to a 30% restocking fee.

4. Backorders

Products ordered together are not necessarily shipped together due to availability. If backordered products are in stock at the time of the buyer¡¦s next order, they will be added to the buyer¡¦s order without duplication. If in any circumstances the buyer wishes to cancel any backorders, the buyer has to contact us. Please also let us know whether backorders or substitutions are acceptable. Backorders will only be shipped if the total exceeds $50.

5. Returns & Exchanges

Please inspect all shipments immediately upon arrival. All Returns/Exchanges must be approved by Unicorn Studio Inc. and made within 14 days from receiving the products. (30% restocking fee plus freight chargeable to customers may apply)

No returns are acceptable without Unicorn Studio Inc.’s prior approval or delivery instructions for transport. Worn or damaged products (include packaging) will not be accepted. Returned products must be in an unused condition and in its original packaging.  When packing your order for return, please be sure all the original packing material and papers and/or cards are included.  We will be unable to process your return if parts are missing, or if items are not packed properly to avoid damage to products and their boxes and/or packages.

Upon receipt of returned goods, Unicorn Studio Inc. reserves the right to deny refund if the merchandise does not meet return policy requirements.  Once confirmed, directions on how to return the item will be provided. Please note that there may be an additional repacking fee if the original box is defaced.

6. Damaged claim:

Please inspect all shipments immediately upon arrival. All damage claims must be approved and made no later than 14 days after receipt of goods.
To help us speed up the process, please provide the following information:

1. Clear pictures of the damaged items and damaged area.
2. Pictures of all packaging (Outside carton, color box, and styrofoam), specifying any damaged areas on the packaging.
3. The 13 digits Batch number; normally, you can find them under the lid of the color box.
4. Provide a clear description of any damaged areas, on the product and packaging.
5. During damage claim process, all original packaging from the item must be kept. If original packaging is discarded then no claim can be processed.
6. Please email us the information listed above for approval of the return..

7. Delivery and Shipping:

Please inspect all shipments immediately upon arrival. All damage claims must be approved and made no later than 14 days after receipt of goods. To help us speed up the process, please provide the following information:

Shipping or handling fee will be calculated and added to the buyer¡¦s total order when the order is ready for shipment. The buyer¡¦s preferred carrier may be used if the buyer agrees to assume any additional transportation charges.

Shipping dates are approximate, and it depends upon credit approval and may be affected by external factors such as unforeseeable delayed and lost shipment.

A $15 service fee will apply for deliveries to the Post Office or to locations within a 10 mile radius of our warehouse.

Additional charges may apply for non-commercial addresses or addresses that require special services (i.e. lift gate, inside delivery, limited access, etc.)

Orders that ship by truck and/or on pallet(s) please follow the below procedures:

1. Inspect your shipment upon delivery before signing the BOL

2. Obvious signs of damages to the pallet(s), boxes, and/or shrink wrap need to be notated on the BOL (please provide us with an image of the condition the shipment arrived in so that we can file for a damage claim on your behalf); otherwise, all damages and or discrepancies discovered subsequently will not be held accountable by the carrier.

3. If the BOL is signed without any remarks then the shipment is assumed by the carrier to have arrived in good condition.

4.Orders delivering to a residential address will need a signature request added to their shipment for security purposes. Customers that wish to be exempt of this service will be held accountable for their own shipment (please make sure to notify us when submitting your order if you wish be exempt of this service). Unicorn Studio Inc is not liable for any loss packages that are delivered to a noncommercial address without the use of a signature request service. Any additional freight charges accrued for shipments that miss there delivery of 3 attempts will be charged back to the recipient¡¦s account.


8. E-commerce seller

Selling on 3rd party platforms, including amazon, Walmart, eBay, and Esty is limited and authorized by our discretion. If you wish to sell online via third party platforms please send us an inquiry before setting up an account.

New established accounts that did not gain prior approval found listing and selling our brand items are subject to removal.


9. Payment

All orders are pre-paid, charge by credit card, ACH or wire. Credit card payments include Visa, Master Card, Discover card and American Express is accepted. A convenience fee may apply for all credit card payments. In the situation a buyer fails to pay after the invoice due date, any unpaid invoices will be charged a 1.5% interest per month from due date. Dishonored checks will be charged a $25 service fee.
